Five contract clauses you must insist on

4. Data return and destruction on contract termination. On contract termination, the vendor must return all personal information in a portable format within 30 days and provide written certification of the destruction of all copies โ€” including backups, analytics datasets, and any AI-derived data. APP 11.2's destruction obligation applies: personal information no longer needed for its purpose must be destroyed or permanently de-identified.

5. Audit rights. Your institution must retain the right to audit the vendor's Privacy Act compliance โ€” directly or via an approved third-party โ€” with reasonable notice. 3. Data centre location described as "the cloud" without specifying an Australian or acceptable region. APP 8 requires that overseas transfers be assessed before they occur.
